vii) Company-Caused Delays

  • If a delay occurs solely due to Shriharsh without any Client-related reason, reasonable compensation may be offered.

ix) Client-Caused Delays

  • Shriharsh shall not be responsible for delays resulting from the Client’s actions, inaction, or failure to cooperate.

x) No Guaranteed Delivery Date

  • Estimated timelines are provided in good faith and may vary depending on project complexity and circumstances.

6. Client Responsibilities

Description:

This section outlines the responsibilities of the Client during the project lifecycle. The Client’s cooperation is essential for timely project completion and successful service delivery.

  • The Client may provide:

    • Logos
    • Videos
    • Product details

ii) Content Creation Alternative

  • If the Client is unable to provide content, Shriharsh may create or arrange content on behalf of the Client, subject to additional charges where applicable.

iii) Image and Media Costs

  • Premium images, videos, illustrations, graphics, or licensed resources may require separate payment by the Client.

iv) Logo and Branding Materials

  • If branding materials are not provided, Shriharsh may create or source them at additional cost.

v) Information Accuracy

  • The Client is solely responsible for ensuring that all provided information is accurate, lawful, and up to date.

vi) Timely Responses

  • The Client shall respond to project-related communications within a reasonable timeframe.

vii) Approval Responsibilities

  • Delays in approvals, feedback, or confirmations may affect project delivery schedules.

viii) Project Hold

  • If the Client fails to provide required information within a reasonable period, the project may be placed on hold.

ix) Additional Costs

  • Any additional work arising from incomplete, incorrect, or delayed information may incur extra charges.

x) Cooperation Requirement

  • The Client agrees to cooperate in good faith throughout the project duration.

7. Intellectual Property

Description:

This section explains ownership rights, project handover procedures, credential delivery, file retention policies, and responsibilities after project completion.

i) Ownership Before Full Payment

  • All project materials, designs, files, code, concepts, and deliverables shall remain the property of Shriharsh until full payment has been received.

  • Handover shall be completed through approved communication channels after payment verification.

  • The Client may receive:

    • Account information

v) Credential Delivery Methods

  • Information may be delivered through:

    • PDF documents

    • Physical delivery (where applicable)

vi) Post-Delivery Responsibility

  • After successful handover, the Client becomes fully responsible for:

    • Website updates
    • User management
    • Legal compliance
    • Security management

vii) Limitation of Post-Delivery Responsibility

  • Shriharsh shall not be liable for modifications, misuse, or content changes made after project handover.

viii) Record Retention

  • Project files and credentials may be retained for up to six (6) months following delivery.

ix) Data Deletion

  • After six (6) months, project-related information may be permanently deleted without notice.

x) Recovery Requests

8. Maintenance & Support

9. Prohibited Use

vi) Hate Speech

  • Content promoting discrimination, violence, harassment, or hatred against individuals or groups is prohibited.

vii) Malware and Cybercrime

viii) Service Suspension

xi) No Liability

10. Limitation of Liability

Description:

This section limits the legal liability of Shriharsh regarding losses, damages, technical failures, third-party services, security incidents, and circumstances beyond reasonable control.

i) No Guarantee of Results

  • Shriharsh does not guarantee specific business results, sales performance, customer growth, or search engine rankings.

ii) Hosting Failures

  • Shriharsh shall not be liable for losses resulting from hosting downtime, server failures, or hosting provider issues.

iii) Domain Issues

  • Shriharsh is not responsible for domain expiration, suspension, transfer disputes, or registrar-related problems.

iv) Third-Party Services

ix) Force Majeure

  • Shriharsh shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, or public emergencies.

x) Maximum Liability

  • To the fullest extent permitted by law, the maximum liability of Shriharsh shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

xi) Acceptance of Risk

  • By purchasing any service, the Client acknowledges and accepts all reasonable risks associated with website development, hosting, internet technologies, and digital services.

xii) Final Responsibility

  • After successful delivery and handover, the Client assumes full responsibility for the operation, management, content, legal compliance, and use of the website.
